Resumo(s): | A transferência internacional da sede societária envolve uma série de implicações, quer
ao nível do Direito Internacional Comercial, quer ao nível do Direito Internacional Fiscal. Desta
forma, julgou-se pertinente a exploração desta realidade no sentido de contribuir para uma
melhor clarificação do influxo transnacional das sociedades no seio fiscal e societário.
Assim, e atendendo às exigências da metodologia e investigação adotada, a presente
dissertação dividir-se-á fundamentalmente em duas partes.
A primeira parte incidirá sobre os principais motivos jurídico-societários que instigam a
mobilidade das sociedades. Concomitantemente discutir-se-á a enorme problemática que
circunda esta matéria, nomeadamente a determinação do estatuto pessoal das sociedades
aquando dessa transferência. Neste sentido, a presente dissertação procurará analisar quais os
constrangimentos jurídicos impostos pelos Estados envolvidos. Posto isto, é de dar especial
atenção à posição assumida pelo Tribunal de Justiça da União Europeia [TJUE], uma vez que a
falta de harmonização ao nível da jurisdição interna dos diversos Estados-Membros poderá ter
repercussões no Direito da União Europeia, particularmente quanto ao exercício do direito à
liberdade de estabelecimento. Pelo que será essencial uma análise exaustiva das decisões do
TJUE relativas a esta matéria para, por sua vez se retirar de cada uma, ilações que poderão
contribuir para uma melhor reflexão atual do tema.
A segunda parte da presente dissertação debruçar-se-á sobre os efeitos fiscais que a
transferência da sede das sociedades comerciais acarreta. A relevância da sua aplicabilidade
reside essencialmente na forma como os rendimentos da sociedade transferida irão ser
tributados e, se essa incidência tributária se traduz numa vantagem fiscal para a própria
empresa e para os próprios Estados (de saída e de acolhimento). Chegados a este ponto,
confrontar-nos-emos, uma vez mais, com as consequências que poderão surgir ao nível dos
princípios fundamentais da União Europeia, bem como o conflito existente entre as legislações
fiscais de cada Estado, a qual pode gerar situações de dupla tributação internacional. É
precisamente neste prisma que se destaca a influência que a alteração da sede tem no Direito
Internacional, circunstância que também analisaremos.
Contudo, não existem respostas claras e convictas no seio do estudo que aqui se
apresentará, sendo a complexidade do mesmo uma verdadeira batalha, mas ao mesmo tempo
uma verdadeira conquista pessoal! The international transfer of the company cross-border involves a series of implications, either in terms of International Commercial Law or in terms of International Tax Law. Thus, it was considered relevant to explore this reality in order to contribute to a better clarification of the transnational influx of companies in the tax and corporate sectors. Like this, and given the requirements of the methodology and research adopted, this dissertation will be divided fundamentally into two parts. The first part will focus on the main legal and societal reasons that trigger the mobility of companies. At the same time, it will discuss the enormous problems surrounding this matter, namely the determination of the personal status of companies at the time of such transfer. In this sense, this dissertation will seek to analyze the legal constraints imposed by the States involved. In this sense, special attention should be given to the position taken by the Court of Justice of the European Union (ECJ), since the lack of harmonization in the internal jurisdiction of the individual Member States could have repercussions on European Union law, particularly as regards to the exercise of the right of freedom of establishment. So, it will therefore be essential to carry out an exhaustive analysis of the ECJ rulings on this matter, in order to draw conclusions from each one, which may contribute to a better reflection on the subject. The second part of this dissertation will focus on the fiscal effects that the transfer of the headquarters of commercial companies entails. The relevance of its applicability lies essentially in the way in which the income of the transferred company will be taxed and whether this tax incidence translates into a tax advantage for the company itself and for the (exit and reception) States themselves. Arrived at this point, we will once again face the consequences that may arise in relation to the fundamental principles of the European Union, with double taxation, which is "overcrowded" here. It is precisely in this point we can see the influence that the change of headquarters has in the international law, a fact that we will also analyze. However, there are no clear and convincing answers within the study that will be presented here, the complexity of which is a real battle, but at the same time a real personal achievement! |
