Resumo(s): | Na presente dissertação pretendemos estudar o princípio da par conditio creditorum e as
suas exceções – em particular os créditos garantidos e privilegiados – analisando até que ponto é
que tais exceções poderão trazer consequências graves para o nosso processo de insolvência.
Trata-se de um tema bastante pragmático pois surge num momento em que se assiste a
uma problemática na jurisprudência dos tribunais portugueses – os casos em que existem
derrogações injustificadas do princípio da igualdade dos credores e que, consequentemente,
conduzem a eventuais violações deste mesmo princípio. Contudo, apesar de ser uma matéria que
permite fazer uma abordagem prática, antes de partir para o estudo do objeto em discussão, é
necessário o estudo dos fundamentos teóricos que estão na base de todo o sistema.
Para uma melhor compreensão do princípio da par conditio creditorum é necessário, em
primeiro lugar, analisar a figura do concurso de credores, proceder a um estudo comparativo do
concurso de credores no processo executivo e no processo de insolvência e por fim, analisar os
princípios que servem de tutela aos credores, averiguando qual dos princípios mais se adequa ao
processo de insolvência. De seguida, partindo do geral para o especial, faremos uma análise do
regime geral das garantias e privilégios que consubstanciam causas legítimas de preferência ao
princípio da igualdade de credores (art. 604º n.º 2 do CC).
Numa terceira fase, procedemos ao estudo do processo de insolvência, sendo que, sob
pena de nos dispersarmos da matéria em objeto, importa examinar: a declaração de insolvência
e os seus efeitos, as reservas da par conditio creditorum consignadas no CIRE, a classificação de
créditos existentes e, por fim, após ser feita a análise e delimitação das exceções ao nosso princípio
(os créditos garantidos e privilegiados), procede-se à análise da graduação e verificação dos
créditos no processo de insolvência.
Já na fase final da dissertação, partimos para o objeto em discussão onde, através da
análise e reflexão de jurisprudência, tentamos dar um contributo para a resolução da recente
problemática da derrogação injustificada do princípio da par conditio creditorum no processo de
insolvência.
Finalmente, no último capítulo, em reflexão sobre o ficou dito anteriormente, pretendemos
consolidar a nossa opinião concluindo se a existência de tantas exceções ao princípio da par
condito creditorum inibe ou não a eficácia e o alcance prático do princípio. In the present dissertation we pretend to study the par conditio creditorum principle and its exceptions – in particular the guaranteed and privileged credits – analysing to what extent such exceptions could bring serious consequences to our insolvency process. It’s a very pragmatic subject because it arrives in a moment that we assist to a problematic in the jurisprudence of the portuguese courts – the cases where there are unjustified derogations of the equality of creditors principle and which, in consequence, leads to eventual violations of that same principle. However, despite being a subject that allows a practical approach, before leaving for the study of the subject under discussion, the study of the theoretical foundations in the base of all the system is necessary. To a better understanding of the par conditio creditorum principle is necessary, first, to analyse the creditor’s contest figure, proceed to a comparative study between the creditor’s contest in the executive process and the insolvency process and, at last, analyse the principles that work as guardianship of the creditors, looking into them to find out which one is the best for the insolvency process. After, going from general to special, will do analyse of the general regime of the guarantees and privileges that are legitimate causes of preference to the equality of creditors principle (art. 604º, nº2, do CC). In a third phase, we proceed to the study of the insolvency process, which, under penalty of dispersing ourselves from the matter in object, it’s necessary to examine: the declaration of insolvency and its effects, the reservations of the par conditio creditorum consigned in CIRE, the classification of the existing credits and, lastly, after the analyse and delimitation of the exceptions to our principle (the guaranteed and privileged credits) were made, we proceed to the analyse of the graduation and verification of the credits in the insolvency process. In the final phase of the dissertation, we arrive to the subject under discussion where, through the analyse and reflection of the jurisprudence, we try to give a contribute to the resolution of the recent problematic of the unjustified derogation of the par conditio creditorum principle in the insolvency process. Finally, in the last chapter, in reflection to what was said previously, we pretend to consolidate our opinion concluding if the existence of so many exceptions to the par conditio creditorum principle inhibit the efficiency and the practical reach of the principle. |
