dc.description.abstract | Os Grupos de Sociedades são definidos como “o conjunto mais ou menos vasto de sociedades comerciais que, conservando embora as respetivas personalidades jurídicas próprias e distintas, se encontram subordinadas a uma direção económica unitária e comum”. Não sendo um ente jurídico por si só, os Grupos de Sociedades, importa uma abordagem história que contextualize o seu surgimento, por forma a que consigamos destrinçar as suas principais características, para, de seguida, nos debruçarmos sobre o seu regime jurídico consagrado em Portugal. Com origem em circunstâncias económicas, são um fenómeno com características de flexibilidade e dinamismo, que se adapta às diferentes alterações do mercado, sendo, por esse motivo, o regime organizacional das sociedades comerciais por excelência. Compreendendo o percurso do legislador português, tentamos conhecer a perspetiva transnacional, com o objetivo de, enraizados nos conceitos basilares deste regime, podermos responder à questão que aqui nos traz: pode, ou não, ser reconhecido pelo Direito o interesse social do grupo? | por |
dc.description.abstract | Groups of companies are frequently defined as a set, more or less extensive, of commercial companies, which maintain their own and distinct legal personalities but they subordinate to a single economic administration, which is common to all the companies. Because of the fact that this phenomenon are not legal entities, Groups of Companies merit a historical approach, which sets its birth, so that we can distinguish their principal characteristics. We can then study their legal framework in Portugal. Its origin is related to economic circumstances and the Groups of Companies are a phenomenon with flexible and dynamic characteristics, which adapt themselves to the different changes in the market and, therefore, they are, par excellence, the organizational system of commercial companies. Knowing the method of the Portuguese legislator, we tried to understand the transnational perspective, with the basic concepts of this system. The main goal is to answer the question that brings us here: may or may it not be recognized by Law the interest of the group? | por |
