Resumo(s): | A declaração de insolvência produz diversos e distintos efeitos, afetando designadamente
os negócios do devedor que se encontrem em curso. Nesta sede assume especial interesse o
contrato-promessa em curso, cujo regime insolvencial tanta controvérsia tem gerado, quer na
doutrina, quer na jurisprudência, principalmente no caso da promessa sinalizada em que é
insolvente o promitente-vendedor. Assim, o objectivo principal deste estudo consiste em
determinar os efeitos da declaração de insolvência sobre o contrato-promessa, em especial o
regime do direito indemnizatório do promitente in bonis em caso de recusa de cumprimento pelo
administrador da insolvência e a qualificação deste direito para efeitos de pagamento.
Revelou-se essencial ao cumprimento desta tarefa a análise, em primeiro lugar, das linhas
orientadoras do processo de insolvência, em especial da disciplina dos efeitos da declaração de
insolvência e, em segundo lugar, do regime geral dos efeitos da insolvência sobre os negócios
em curso, matérias às quais foram dedicados o primeiro e o segundo capítulo desta dissertação.
O terceiro capítulo é dedicado ao tema central da investigação, o qual, considerando a
amplitude da matéria a abordar, encontra-se seccionado em três partes, sendo a primeira parte
destinada ao enquadramento legal da matéria do contrato-promessa e a segunda parte à análise
geral do regime contido no art. 106.º do Código da Insolvência e da Recuperação de Empresas,
sendo primeiramente revista a previsão contida no seu n.º 1 (o tratamento dado ao contratopromessa
com eficácia real e tradição do bem, em que o insolvente é o promitente-vendedor) e
de seguida concretizadas as hipóteses enquadráveis no n.º 2 do referido normativo. A terceira e
mais extensa parte deste capítulo é destinada ao estudo dos efeitos da recusa de cumprimento
do contrato-promessa sinalizado em que o insolvente é o promitente-vendedor, por ser o caso
que mais frequentemente surge na práxis negocial e que maiores dificuldades coloca ao
intérprete da lei. Aqui analisaremos o regime da indemnização devida ao promitente-comprador
e a natureza desse crédito (se é um crédito garantido – por direito de retenção – ou comum),
dissecando as diferentes teses pugnadas pela nossa doutrina e vertidas nas decisões
jurisprudenciais proferidas pelos nossos Tribunais superiores, para, a final, após apreciação
crítica das posições analisadas, apontarmos a solução que julgamos ser a preferível, mais
correta e consentânea com as regras e princípios que vigoram em sede insolvencial. The declaration of insolvency produces several and distinctive effects, affecting inter alia the debtor’s ongoing legal businesses. In this field has a particular interest the ongoing promissory contract, whose insolvency’s legal regime has generated so much controversy, both in doctrine as in jurisprudence, especially in the case of the promissory contract with down payment in which the insolvent is the promissor seller. So, the main objective of this study is to determine the effects of the declaration of insolvency on the promissory contract, in particular the regime of the compensatory claim of the promisor in bonis in case of refusal to fulfil by the insolvency administrator and the classification of this right for payment purposes. Has proven essential to the accomplishment of this task the analysis, first, of the guidelines of the insolvency proceedings, especially of the discipline of the effects of the declaration of insolvency and, secondly, of the legal regime of the effects of insolvency on the ongoing businesses, being the first and second chapter of this thesis dedicated to those matters. The third chapter is devoted to the central theme of the research, which, considering the amplitude of the matter to be addressed, is sectioned into three parts, being the first part designed to the legal framework of the subject of promissory contract and the second part to a general analysis of the rules contained in the article 106º of the Código da Insolvência e da Recuperação de Empresas, being first studied its number 1 (the treatment of the pre-contract with erga omnes obligations and delivery, in which the insolvent is the promissory seller) and then demonstrate the hypotheses contained in the number 2 of the normative. The third and most extensive part of this chapter is intended to study the effects of the refusal to fulfil the promissory contract with down payment in which the insolvent is the promissor seller, to be the case that most often occurs in the negotiating praxis and that puts the greatest difficulties to the exegetist of the law. Here we will analyse the rules on the compensation settled to the promissor buyer and the nature of this credit (if it is a secured credit – by the right of withholding – or a non-secured credit), by dissecting the different arguments defended by our doctrine and sustained in the Cases decided by our superior courts, for, finally, after critical appraisal of the positions analysed, point out the solution that we consider most preferable, most accurate and consistent with the rules and principles that are in place in insolvency law. |
