Resumo(s): | O underpricing das IPOs é um fenómeno investigado por diversos autores, que procuram
compreender a sua existência e identificar os principais fatores que o originam. Nesta
dissertação será dado maior ênfase aos fatores relacionados com as teorias de sinalização das
IPOs. Estas defendem que as empresas boas sinalizam a sua qualidade para o mercado através
de um maior underpricing das suas IPOs. Para além disso concluem que as empresas boas irão
emitir uma SEO a um preço superior, anulando os custos superiores incorridos com o
underpricing na emissão da IPO.
O objetivo desta dissertação é, portanto, verificar se existe uma relação entre o
underpricing das IPOs e a primeira emissão de uma SEO, no caso das empresas europeias. Os
dados recolhidos em toda a investigação são provenientes das bases de dados SDC e
DataStream e a metodologia utilizada baseia-se no artigo de Jegadeesh, Weinstein e Welch
(1993).
Esta dissertação investiga três hipóteses principais. A primeira estabelece que uma
empresa que exiba um maior underpricing na sua IPO terá uma maior probabilidade de emitir
uma SEO, até três anos após a IPO. A segunda hipótese prevê uma relação positiva entre o
underpricing da IPO e o montante emitido na SEO. Por fim a última hipótese estabelece que
uma empresa com um elevado underpricing irá regressar ao mercado com uma SEO mais cedo.
Uma vez que não foi encontrada nenhuma relação significativa entre o underpricing das
IPOs e a emissão de SEOs, foram elaboradas hipóteses alternativas. As hipóteses 1a) e 2a)
estabelecem uma relação positiva entre a rendibilidade anormal após a IPO e a emissão de uma
SEO de elevados montantes enquanto a hipótese 3a) relaciona negativamente a rendibilidade
anormal após a IPO e o período de tempo entre a IPO e a SEO. A análise empírica vem
confirmar estas três hipóteses alternativas. A análise dos modelos probit e tobit comprova que
empresas com uma rendibilidade anormal superior após à IPO têm uma maior probabilidade de
emitirem uma SEO de elevados montantes. Por outro lado essas empresas esperam menos
tempo para regressarem ao mercado com uma SEO. The underpricing phenomenon is a topic investigated by several authors, who try to understand and identify the main factors affecting it. In this dissertation I analyze factors related with the signaling theories. These theories argue that “high-quality” firms signal their quality to the market with a higher underpricing of their IPOs. “High-quality” firms will then issue a SEO at a higher price, offsetting the signaling costs of underpricing. The main goal of this dissertation is to examine the relation between IPO underpricing and the first seasoned equity offering (SEO) for European companies. All the data were collected using SDC and DataStream databases and the methodology mimics the work of Jegadeesh, Weinstein and Welch (1993). This dissertation investigates three main hypotheses. The first one establishes that a company with higher IPO underpricing will have a greater probability of a seasoned equity issue, up to three years after the IPO. The second hypothesis foregoes a positive relation between IPO underpricing and the amount issued on the SEO. Finally the last hypothesis establishes that a company with higher IPO underpricing will return to the market with a SEO sooner. Since no results were found with respect to the relation between IPO underpricing and SEO issue, three alternative hypotheses were formulated and tested. The hypotheses 1a), 2a) e 3a) establish that a SEO issue is better predicted by aftermarket abnormal returns than by IPO underpricing. The empirical analysis confirms these three alternative hypotheses. The probit and tobit analysis prove that companies with a higher abnormal return after the IPO have a higher probability of raising larger amounts of capital through a seasoned equity offering. On the other hand these companies return to the market with a SEO sooner. |
