Resumo(s): | As fusões e aquisições (F&A) têm assumido uma posição de destaque no panorama
económico sob os mais variados pretextos. No entanto, a literatura não é consensual
relativamente a que esta estratégia de gestão represente um real acréscimo de valor para a
economia. Por vezes aponta mesmo como um meio de destruição de valor, fundamentalmente
para os acionistas da empresa licitante.
Surgem assim duas questões fundamentais em torno das quais versa este estudo.
Quem realmente beneficia de retornos anormais num processo de F&A? E, quais os fatores que
mais contribuem para explicar esses resultados? Assim, este estudo aborda esta temática com o
intuito de contribuir com dados empíricos para as questões colocadas.
Para responder à primeira questão, a metodologia utilizada para verificar da real criação
ou destruição de valor foi o estudo de eventos. Neste, verificou-se a existência de resultados
anormais positivos para a empresa alvo, enquanto que, o licitante obteve resultados anormais
negativos, já de forma agregada os resultados anormais revelam-se positivos. Todos estes
resultados se mostraram estatisticamente diferentes de zero, pelo que, se concluí que na
amostra utilizada existiu criação de valor.
No que concerne à segunda questão, também aqui foram analisados o licitante e o alvo
separadamente e posteriormente em conjunto. Com efeito, verificou-se que a variável que se
revelou mais pertinente na explicação dos resultados anormais negativos do licitante foi o
pagamento em ações. Por sua vez, para o alvo a variável pagamento em dinheiro surge como a
que mais contribuí na explicação dos resultados anormais positivos. Quando agregados os
resultados, o facto de existir mais que um licitante revela um contributo negativo e
estatisticamente significativo sem que qualquer outra variável mereça destaque. Mergers and acquisitions (M&A) have assumed a prominent position in the economic outlook under various pretexts. However, the literature is not consensus whether this corporate strategy represents a real value addition to the economy. In some cases, it is even cited as a mean of destroying shareholder value of the bidding company. This results in two fundamental questions. Who really benefits from abnormal returns in the process of M & A? And what are the factors that help to explain these results? So, this study approaches this issue and attempts to contribute with empirical data to this research field. To answer to the first question, the methodology used to verify the actual value creation or destruction was the event study. The results unveil the existence of positive abnormal returns accruing to the target, negative abnormal returns to the bidders and positive abnormal returns for the aggregated deal. All these results were statistically different from zero, supporting the contention of value creation within the used sample. Regarding the second question, we also have examined the bidder and the target separately and then together. It was found that the variable that proved to be most relevant in explaining the negative abnormal returns to the bidder was the payment in shares, while for the target, the payment in cash arises as the most important contribute to explain the positive abnormal returns. When aggregated, the fact that there is more than one bidder shows a negative contribution and statistically significant although no other variable deserves emphasis. |
